Terms of Service

These Terms of Service ("Terms") govern access to and use of the LumenMint website and any related services, communications, and deliverables (collectively, the "Services"). By accessing the website, contacting LumenMint, or engaging the Services, you agree to these Terms. If you do not agree, do not use the Services.
Who these Terms apply to
These Terms apply to visitors, prospective customers, and customers. If you are using the Services on behalf of an agency, business, or client, you represent that you have authority to bind that organization to these Terms.
Services and scope
LumenMint provides white-label creative production services, including AI-assisted generation and human editing of images and videos for marketing and e-commerce use. Specific scope, deliverables, timelines, revision rounds, and fees may be described in a quote, statement of work, email, invoice, or similar written confirmation (a "Project Scope"). If there is a conflict, the Project Scope controls for that project.
Client materials and permissions
You are responsible for ensuring that all materials you provide or request to be used are lawful and that you have all needed rights, permissions, and releases, including rights for:
- logos, trademarks, and brand assets
- product images and footage
- music, voice, and sound effects
- people’s likenesses, talent releases, and location releases
LumenMint may rely on your instructions and representations and is not responsible for verifying third-party rights.
AI-assisted creation
The Services may involve generating drafts, variations, and intermediate outputs using third-party AI and editing tools, then refining outputs through editing.
Because AI generation is probabilistic:
- results may vary between generations
- some outputs may contain artifacts or require iteration
- similarity to existing content can occur by coincidence
LumenMint will use reasonable efforts to reach the creative direction described in the Project Scope, but cannot guarantee a specific subjective outcome.
Revisions, feedback, and timelines
Unless otherwise stated in the Project Scope:
- Deliverables are produced based on the direction and materials you provide.
- Revision rounds, response times, and delivery timelines depend on timely feedback and timely delivery of required inputs.
- Additional revisions, major direction changes, or late-stage scope changes may require additional fees and timeline adjustments.
Fees, invoicing, and payment
Fees are described in the Project Scope or invoice. Unless otherwise stated:
- invoices are due upon receipt
- work may begin after an initial payment or deposit
- late payments may pause delivery and revision work
Ownership and licenses
Your materials
You retain ownership of materials you provide. You grant LumenMint a limited license to use those materials solely to perform the Services.
Deliverables
Unless otherwise stated in the Project Scope, upon full payment, you receive ownership of the final deliverables delivered to you, or a broad license to use them for your intended marketing and e-commerce purposes.
LumenMint tools and know-how
LumenMint retains ownership of its processes, templates, internal methods, and any pre-existing materials. Nothing in these Terms transfers ownership of LumenMint’s underlying tools.
Confidentiality
If you share confidential information, LumenMint will use reasonable care to keep it confidential and use it only to perform the Services, except where disclosure is required by law or necessary to use service providers to complete the work.
Prohibited uses
You agree not to use the Services to create, request, or distribute content that is unlawful or infringes rights, or that includes malware, scraping, or attempts to interfere with the website’s security or functionality.
Third-party AI tools and data handling
LumenMint may use third-party AI and editing services to generate, enhance, or refine deliverables. This may require uploading or processing materials provided by you, including images, video, logos, and reference content. You authorize LumenMint to process your materials through such services as needed to perform the Services.
Third-party services operate under their own terms and privacy policies. LumenMint does not control, and is not responsible for, how third-party providers store, retain, or use submitted content, including any use for model training where permitted by that provider’s policies. Do not provide sensitive personal information, confidential information, or trade secrets unless specifically required for the project and explicitly approved for submission through third-party tools.
To the maximum extent permitted by law, LumenMint will not be liable for third-party acts or omissions related to data handling, retention, or training use, except to the extent caused by LumenMint’s own breach of these Terms or applicable law.
Third-party services
The Services may rely on third-party platforms (for example, hosting, payments, analytics, file transfer, AI generation, and editing tools). Use of those services may be subject to their own terms and policies. LumenMint is not responsible for third-party outages or changes.
Disclaimers
The Services and website are provided on an "as available" basis. To the maximum extent permitted by law, LumenMint disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, LumenMint will not be liable for indirect, incidental, special, consequential, or punitive damages. LumenMint’s total liability for any claim relating to the Services will not exceed the amount paid to LumenMint for the applicable project giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
Indemnification
You agree to indemnify and hold harmless LumenMint from claims arising out of your materials, your instructions, your use of deliverables, or your violation of these Terms, including claims that content infringes a third party’s rights.
Termination
Either party may stop working together at any time. Termination does not relieve the obligation to pay for work performed, approved milestones, or non-cancellable costs already incurred. Certain sections, such as ownership, confidentiality, disclaimers, limitation of liability, and indemnification, survive termination.
Governing law and venue
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any dispute will be brought in state or federal courts located in New Jersey, and you consent to their jurisdiction.
Changes to these Terms
LumenMint may update these Terms from time to time by posting a revised version on the website with an updated date. Continued use of the Services after changes means you accept the updated Terms.
